HONG KONG, Dec. 28, 2017 -- iClick Interactive Asia Group Limited (“iClick” or the “Company”) (NASDAQ:ICLK), a leading independent online marketing technology platform in China, today announced that the underwriters of the Company's initial public offering (the "IPO") have exercised their over-allotment option in full to purchase an additional 562,500 American depositary shares ("ADSs"), each two representing one Class A Ordinary Share of the Company. Pursuant to terms of the over-allotment option, the underwriters purchased the additional ADSs from the Company at the IPO price of US$8.00 per ADS, less an underwriting discount and commission of US$0.50 per ADS, or a net price of US$7.50 per ADS.
Total proceeds to the Company from ADSs sold in the IPO, including the 3,750,000 ADSs sold initially and the 562,500 ADSs sold pursuant to the over-allotment option, were approximately US$27.5 million, after deducting underwriting discounts and commissions and offering expenses payable by the Company. The Company had a total of 26,059,433 ordinary shares outstanding after the close of the over-allotment option.
Roth Capital Partners is acting as sole book-runner for the offering. Shenwan Hongyuan Securities (H.K.) Limited and Network 1 Financial Securities, Inc. are acting as co-managers for the offering.
