AI developer Anthropic’s Nov. 2 IPO amendment names no South Korean brokerage among its proposed underwriters, leaving no named local syndicate route for investors seeking shares in its planned Nasdaq offering.
The filing lists 22 underwriter entries, with Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC as representatives. Anthropic has applied to list its Class A shares on the Nasdaq Global Select Market under ANT. The share count and price range remain blank, continuing the unresolved terms in the earlier filing.
The prospectus includes Japan among markets for a public offering outside the United States. In South Korea, it says shares have been and will be offered through private placements. Other offers or sales are allowed only where Korean law permits them; the filing identifies no separate planned Korean sales channel.
Pulse reported Oct. 30 that eight of 10 major Korean brokerages it surveyed intended to stay out of the IPO. Industry sources cited by Pulse pointed to uncertainty over whether firms would receive shares for clients and concern about AI company valuations. The survey describes those firms’ intentions, while the filing shows the current proposed underwriting group.
A proposed underwriting role does not guarantee shares for a brokerage’s customers. SpaceX’s prospectus named Mirae Asset Securities Co., Ltd. in its underwriting group, but Mirae later told clients it had received no shares to distribute, Reuters reported after reviewing the brokerage’s letter. The final allocation, rather than a place on the proposed list, determined what Mirae could offer its clients.
Anthropic’s prospectus also anticipates some retail sales through named brokerage platforms, subject to each platform’s terms. It does not specify eligibility for South Korean residents through those platforms. The absence of a Korean underwriter therefore does not establish that every Korean investor is excluded from IPO-price shares.
The next concrete indicator is an amended prospectus setting out the share count and price range. The Nov. 2 filing gives no confirmed pricing or trading date.
