Bloomberg reported that Carlsberg India’s proposed IPO could raise up to $700 million through existing shares, which would direct proceeds to the seller if the offer is wholly secondary.

In a secondary sale, an existing shareholder sells stock it already owns rather than having Carlsberg India issue new shares. If the reported offer is entirely secondary, the shareholder selling the stock would receive the proceeds and the Indian business would not gain new capital from those shares. Bloomberg’s $700 million figure is an upper limit for the reported transaction, and Carlsberg has not confirmed the reported size or launch timetable.

Bloomberg said the document could become public this week, with investor roadshows potentially following its release and a December launch under consideration. The plans remain subject to change.

Carlsberg Group CEO Jacob Aarup-Andersen said during an Aug. 19 earnings call that Carlsberg India submitted a pre-filed draft red herring prospectus to Indian authorities in July. He also said work on the IPO continued. The July document was confidential, rather than a public prospectus setting out the offer’s terms.

On the same call, Aarup-Andersen said the Indian business’s volume grew at a mid-teens percentage in the first half of 2026, with faster growth in the second quarter. He linked the growth to the Carlsberg and Tuborg brands.

Carlsberg gained full control of its India and Nepal businesses in November 2024 after buying out its partner. Carlsberg India says it operates seven owned breweries and works with eight co-manufacturers. The group says its commercial operations in India began in June 2007.

A public prospectus would set out the proposed offer’s terms. Carlsberg’s next scheduled company update is its third-quarter trading statement on Oct. 29; the investor notice does not say it will include IPO terms. The statement is a scheduled company update, not a promised IPO announcement.
