Citigroup added one independent director to its board on Oct. 21, electing former PricewaterhouseCoopers executive James Flanagan with immediate effect, the bank said in an Oct. 22 securities filing.
The appointment brings a former accounting firm executive with experience in operations, technology and risk to the board. Flanagan previously ran PwC's U.S. operations and its financial services practice.
The Oct. 22-25 filing review covered 24 of the largest U.S. listed companies and financial institutions. Citigroup's board appointment was the disclosure supplied for that period.
Citigroup filed the appointment under Item 5.02 of Form 8-K, which covers departures or elections of directors and officers. Its Oct. 22 filing followed the bank's announcement the previous day.
Flanagan spent nearly 40 years at PwC and served as chief operating officer and vice chairman from 2014 to 2021, Citigroup said. He earlier led its U.S. financial services practice, a $4 billion business.
Citigroup Chair and Chief Executive Jane Fraser said Flanagan's experience across risk, operations, technology and accounting would bring valuable perspective to the board.
As PwC's chief operating officer, Flanagan oversaw human resources, information technology, finance and real estate. His responsibilities also included risk and regulatory matters across the firm's U.S. operations.
He led operational changes and cost restructuring that improved profitability. Before taking that role, he progressed from audit partner to regional and national practice leadership positions.
The financial services business he led provided audit, consulting and tax services to banking, insurance and asset management clients. He ran the practice through the 2008 financial crisis, during which it gained market share.
Flanagan also built and led PwC's transaction services practice, initially in the Midwest and later nationally. His work included examining businesses for sellers ahead of transactions.
He also established services to help companies prepare for initial public offerings, value businesses and access capital markets.
Flanagan currently serves on the board of Integer Holdings, a medical device contract development and manufacturing company. He sits on its audit and technology strategy committees.
He also serves on the board of Cyabra, an analytics company that uses artificial intelligence. He chairs its audit committee and sits on its compensation and nominating and governance committees.
He previously served as a director and audit committee chair at Belami Ecommerce from 2022 to 2025. He holds an accounting degree from Long Island University and is a certified public accountant.
The board appointment announcement provided no revenue, net income or earnings-per-share figures.
