Dow Inc. posted third-quarter net income of $525 million, more than four times its year-earlier result, as price and product mix gains lifted sales while volume slipped.
Dow filed a Form 8-K with the U.S. Securities and Exchange Commission (SEC) on Oct. 22. The filing index records Items 2.02, covering results of operations and financial condition, and 9.01, for financial statements and exhibits; Dow’s earnings release is attached as Exhibit 99.1.
Sales reached $11.267 billion, compared with $9.973 billion in the year-earlier quarter, an increase of about 13%. Sales volume decreased 1%, and currency had no effect on the comparison. Dow reported a 14% gain in local pricing and product mix.
Dow reported volume gains in every region except Asia Pacific, where Middle East conflict-related effects were strongest.
Net income increased from $124 million a year earlier. Diluted earnings per share under generally accepted accounting principles (GAAP) was $0.62, versus $0.08. Operating earnings per share, a non-GAAP measure, reached $0.71 after a $0.19 loss a year earlier.
Dow reported operating EBIT of $887 million, up from $180 million. Stronger pricing and cost-saving actions outweighed higher raw-material and logistics expenses, Dow said. Dow paid $253 million in dividends during the quarter.
Chief Executive Karen S. Carter said Dow remained on track for $700 million in growth and productivity benefits in 2026 and about $2 billion in total uplift by the end of 2027. Carter said the first European shutdown was already contributing to sequential improvement, with benefits from the shutdown program expected to grow through 2027.
