Two Hong Kong IPO prospectuses detail investment and commercial links involving cornerstone buyers, giving examples of relationships regulators want intermediaries to examine when judging whether demand for new shares is genuine.
HOSIN Electronics Co., LTD. says its wholly owned subsidiary, HOSIN Global (HK) Electronics Co., Limited (Hosin HK), invested about HK$75 million in Shenzhen Transsion Holdings Co., Ltd.’s October 2026 Hong Kong IPO and about HK$56 million in Shenzhen Longsys Electronics Co., Ltd.’s September IPO. Transsion International Limited and Longsys Investment Co., Limited, which the filing links to those companies, are among seven cornerstone investors in HOSIN’s offering. The prospectus says Transsion International’s commitment and HOSIN HK’s investment in Shenzhen Transsion, as well as Longsys Investment’s commitment and HOSIN HK’s investment in Shenzhen Longsys, are ‘not inter-conditional.’
HOSIN’s global offering covers 14,717,200 H shares, subject to offer-size adjustment and an over-allotment option, at HK$72.29 to HK$82.90 a share. Its cornerstone investors committed about HK$451.56 million, excluding brokerage and transaction fees. At HK$72.29, their estimated allocation would equal 42.44% of the offer shares; at the HK$77.60 midpoint, it would equal 39.54%, assuming neither adjustment is exercised. The prospectus says they receive guaranteed allocations at the final price, have no other preferential rights and agreed not to sell for six months after listing.
The filing says Yeh Pei-Chen and Chen Chun-Cheng were each introduced through a mutual acquaintance, but does not say whether it was the same person. Liu Ling was introduced through a management member, and Chen Li-Shun at an annual investor event. The prospectus also links cornerstone investor Pine Vigor Capital Limited to existing shareholder Future Pafi through ownership connections involving W&W Capital Limited.
A separate prospectus for Jiangsu Xinde Semiconductor Technology Co., Ltd. lists commitments of about HK$312.99 million from GF Fund Management, Guohui HK and Maxwell. At the HK$9.10 midpoint, that amount represents about 32.28% of the offer shares. Maxwell Technology Pte. Ltd. is wholly owned by Suzhou Maxwell Technologies Co., Ltd.; the latter’s 90%-owned affiliate, Maxwell Technologies (Zhuhai) Co., Ltd., supplied Xinde during the period covered by the prospectus. Xinde says the cornerstone investment and commercial arrangements are “not inter-conditional.”
The Securities and Futures Commission (SFC) issued Oct. 13 guidance urging IPO sponsors and other intermediaries to examine investor links, funding and whether orders reflect genuine demand. It said undisclosed subscription funding or guaranteed returns can distort price discovery and expose public investors to harm. The regulator said vetting of 65 listing applications was suspended from January through September 2026; 14 had resumed by Oct. 1 after concerns were resolved to regulators’ satisfaction. The circular does not name HOSIN or Xinde. SFC Chief Executive Officer Julia Leung said a robust IPO market must be built on “market integrity and investor protection.”
Xinde’s offer is scheduled to close at 11 p.m. ET Nov. 4 (04:00 UTC Nov. 5), with pricing expected at 11 p.m. ET Nov. 5 (04:00 UTC Nov. 6). HOSIN’s offer is scheduled to close at 11 p.m. ET Nov. 8 (04:00 UTC Nov. 9), with pricing expected at 11 p.m. ET Nov. 9 (04:00 UTC Nov. 10).
