AB “Ignitis grupė” (Ignitis Group) is offering to repurchase its 2027 notes as it prepares its first European Green Bond (EuGB) sale to manage the approaching maturity.

The energy group is inviting holders to tender any or all of its €300 million in outstanding 2% notes due July 14, 2027.

Ignitis plans to sell at least €300 million in five-year senior unsecured notes, subject to market conditions. The issue would fall under its €2 billion Euro Medium Term Note Programme and a base prospectus dated Sept. 3, 2026.

Ignitis intends to use proceeds from the bond sale to fund the cash tender. Completing the new issue is a condition of the tender, but the company can waive that condition. Ignitis will cancel notes it buys, while notes it does not buy will stay outstanding.

The green-bond allocation may cover fixed assets, capital spending and operating costs, including refinancing, in an amount Ignitis described as equivalent to the new notes’ gross proceeds. EU rules permit issuers to deduct issuance costs before allocating the remaining proceeds in full to uses that meet EU taxonomy requirements by maturity.

The proposed issue would be Ignitis’ first under the EuGB designation. The group sold a €300 million green bond in 2017, when it established its first Green Bond Framework. In a separate Aug. 11 company statement, Chief Financial Officer and Management Board member Jonas Rimavičius said Ignitis planned €2.5 billion to €3 billion in investment from 2026 through 2029.

Ignitis said its 2026 Adjusted EBITDA and Investments guidance is unchanged.
