Ionetix Corporation disclosed options for its chief executive and finance chief and equity awards for directors, while setting a cash bonus plan at a subsidiary that details potential awards for eligible employees.

The Oct. 29 Form 8-K filed with the SEC says the grants were made Oct. 23. President and Chief Executive Officer Kevin Cameron received an option covering 1,025,600 shares, while Chief Financial Officer Phieu Phun received one covering 854,700 shares. The board set each option’s $3 exercise price at the shares’ fair market value on the grant date.

Twenty-five percent of each option vests on the first anniversary of the grant date, with the balance vesting monthly during the following 36 months if the executive remains in service. Each expires 10 years after the grant date, subject to earlier termination under the plan and award agreement. The filing also describes full vesting acceleration in certain separation and change-of-control circumstances, subject to conditions.

The board adopted a nonemployee director compensation plan on Oct. 23. It provides equity awards and no cash retainers as of its effective date. Michael Stewart received an initial option for 175,000 shares. Gregory Martin, Douglas Boothe and Michael Tarnok each received an annual option for 100,000 shares and 15,000 restricted stock units; the director options carry a $3 exercise price. The plan says it aims to attract and retain qualified directors, recognize their service and align their interests with stockholders.

Ionetix Radioisotopes, Inc. adopted a discretionary cash bonus plan for 2026 and later calendar years until it is amended or terminated. The plan covers eligible full-time employees and bases potential awards on target percentages of base salary, corporate goals and individual performance. It generally requires at least 80% achievement of corporate goals and caps awards at 120% of target, although a committee may approve exceptions. The subsidiary’s CEO and CFO, interns and other employees designated ineligible are excluded.

Approved bonuses for 2026 are scheduled for payment from Jan. 1 through March 15, 2027.
