Jefferies Financial Group said its planned $340 million contribution to a pending investment in Hildene is part of a capital shift the firm expects to make asset-management results steadier.
Jefferies shares closed at $43.60 on Oct. 19, down 2.7% from $44.80 at the previous close, based on S&P Global Market Intelligence data. Executives discussed the pending transaction at an investor meeting that day.
Under the plan, Jefferies would acquire a 50% interest in Hildene Holding Company, LLC, a credit manager. Hildene has agreed to buy SILAC, Inc., the parent of SILAC Insurance Company, an annuity insurer. Both transactions remain pending.
Jefferies’ planned contribution consists of $340 million in cash, existing revenue-sharing rights with Hildene and part of an investment in a Hildene-managed fund. Executives said portfolio reductions had funded the planned cash contribution. Jefferies expects the reallocation of capital previously held in other asset-management strategies to make the division’s earnings less uneven. That remains a goal, not a completed result.
Jefferies reported $17 million in losses tied to Market Financial Solutions and First Brands in its first-quarter 2026 results, after compensation and taxes. Its relationship with Hildene began in 2022.
The company’s Oct. 9 Form 10-Q targets a closing in the first quarter of 2027, subject to approvals. That timing replaces the third-quarter 2026 estimate in the original deal announcement.
