LACROIX Group has set terms for a share repurchase of up to 482,909 shares, with a €28.97 million ceiling, providing a framework for liquidity support and other corporate share needs.
LACROIX describes itself as a French technology and industrial group focused on electronic equipment and industrial IoT solutions. Its business is organized around Electronics and Environment activities, and its ordinary shares are listed on Euronext Paris.
The board’s Oct. 29 decision put into effect a mandate approved by shareholders at the May 13 meeting. Official vote results identify it as the meeting’s 13th resolution, backed by 6,087,448 votes and opposed by 189,698. That was 96.98% support among votes cast, with 3.02% against.
The authorization permits purchases of up to 482,909 shares, equal to 10% of share capital. The maximum price is €60 per share and the total expenditure limit is €28,974,540. Its 18-month term began May 13, 2026, and ends Nov. 13, 2027. LACROIX disclosed the terms in a Nov. 3 notice.
LACROIX may acquire shares through market trading or block transactions; a block deal could cover the whole authorized volume. An independent investment-services provider is to handle the purchases, subject to market conditions. The company lists four purposes: supporting share liquidity, keeping stock available for external-growth transactions, meeting employee and officer share or option plans, and covering securities that give rights to LACROIX shares.
The authorization sets a separate limit for one use: shares purchased for external-growth transactions may account for no more than 5% of capital. LACROIX also says its total direct and indirect holdings may not exceed 10%.
The notice records 107,443 treasury shares at publication. It allocates 55,334 to external-growth transactions, 45,838 to employee and officer share or option plans, and 6,271 to a liquidity contract. It does not report purchases under the new program or specify when they may occur.
The next scheduled financial disclosure is full-year 2026 revenue, due Feb. 9, 2027, after market close.
