Nexperia’s governance dispute widened Tuesday as Reuters reported that the chipmaker said it had begun Dutch proceedings seeking compensation from indirect owner Wingtech Technology Co., Ltd., and founder Zhang Xuezheng.
Reuters cited a Nexperia statement alleging that actions by Wingtech and Zhang had harmed the company’s business. The report gave no damages figure or details of the alleged actions. Wingtech owns Nexperia indirectly through Yuching Holding Limited and Nexperia Holding B.V., court records show.
The dispute was already under scrutiny in the Netherlands. On Feb. 11, the Enterprise Chamber of the Amsterdam Court of Appeal ordered an investigation into Nexperia Holding B.V. and Nexperia B.V. It kept temporary measures in place, including the suspension of a director and the placement of all but one share in Nexperia Holding B.V. under an administrator. The shares remained Yuching’s property, the court said.
The court said a rift between Nexperia’s Chinese divisions and its divisions in Europe and Southeast Asia had severely disrupted production and put customer deliveries at risk. Its investigation is intended to assess whether mismanagement occurred; the order made no final finding on that question.
A separate case runs in the other direction. A Sept. 2 Gelderland District Court decision recorded that Wingtech and Yuching had announced a claim on May 22 against Nexperia and other defendants in the Dongguan Intermediate People’s Court of Guangdong Province. Wingtech and Yuching’s announcement provisionally valued that claim at about €1 billion, according to the decision. Nexperia had not received the document initiating that case by a May 29 hearing.
The Sept. 2 decision recorded a provisional December 2026 target for the investigators’ report on Nexperia’s governance.
