Nokia transferred 2,142,361 company-held shares to participants in its employee share-purchase and long-term incentive plans on Oct. 15, using an authorization for deliveries through 2027.

No payment accompanied the share transfer. Nokia’s own-share balance was 81,161,716 following the transaction.

The board resolved on Oct. 2, 2025, to make up to 120 million company-held shares available for deliveries scheduled in 2025, 2026 and 2027. Shareholders granted the board authority for the program at Nokia’s annual meeting on Apr. 29, 2025.

The program covers employee share-purchase and long-term incentive plans. The authorization may also be used to meet obligations related to awards under Infinera’s 2016 Equity Incentive Plan.
