NEW YORK, Aug. 02, 2017 -- Pensare Acquisition Corp. (NASDAQ:WRLSU) (the "Company" or “Pensare”) today announced the closing on August 1, 2017, of its initial public offering of 27,000,000 units at $10.00 per unit. Pensare also announced that the underwriters exercised in full their option to purchase an additional 4,050,000 units to cover over-allotments. After giving effect to the full exercise of the over-allotment option, the total number of units sold by Pensare in the initial public offering increased to 31,050,000 and the total gross proceeds increased to $310.5 million. The exercise of the over-allotment option is expected to close on August 4, 2017, subject to customary closing conditions.
Each unit consists of one share of common stock, one-half of one warrant, each whole warrant exercisable to purchase one share of common stock at a price of $11.50 per whole share, and one right to receive one-tenth of one share of common stock upon the consummation of the Company’s initial business combination. The units began trading Thursday, July 27, 2017, on the NASDAQ Capital Market under the symbol "WRLSU." Once the securities comprising the units begin separate trading, the common stock, warrants and rights are expected to be listed on the NASDAQ Capital Market under the symbols “WRLS,” “WRLSW” and “WRLSR,” respectively.
Pensare is a blank check company formed for the purpose of entering into a merger, stock exchange, asset acquisition, stock purchase, recapitalization, reorganization or other similar business combination with one or more businesses or entities. Although the Company’s search for a target business is not limited to a particular industry or geographic region, it intends to initially focus its search on identifying a prospective target business in the wireless telecommunications infrastructure industry in the United States.
