PepsiCo Inc. (NASDAQ: PEP) has sharply reduced the estimated value of performance-based payments tied to its acquisition of prebiotic soda brand Poppi, suggesting the beverage company is falling short of key growth targets established under the deal.
According to a recent regulatory filing, PepsiCo valued the potential Poppi earnout payments at just $12 million as of September 5, down significantly from $117 million in June and $278 million in December.
The reductions represent cumulative pre-tax adjustments of $105 million over 12 weeks and $266 million over 36 weeks, highlighting weakening expectations for the brand's financial performance.
PepsiCo acquired Poppi in May 2025 for $1.9 billion in cash, with an additional $300 million contingent on achieving undisclosed financial milestones by the third quarter of 2027.
The company calculates these potential payments using Monte Carlo simulations and discounted cash flow models that incorporate projected revenue, profit margins, and the probability of meeting performance targets.
The latest valuation adjustment comes as PepsiCo faces challenges across its North American beverage business. Although the division generated $7.7 billion in third-quarter revenue, organic sales volume declined slightly, reflecting continued pressure on consumer demand.
During a recent earnings call, PepsiCo CEO Ramon Laguarta acknowledged dissatisfaction with the company's soft drink performance and emphasized plans to strengthen its beverage portfolio.
Despite Poppi's weaker projected financial results, PepsiCo remains committed to expanding the prebiotic soda brand alongside established products such as Pepsi and Mountain Dew.
The company has increased Poppi's visibility through major advertising campaigns and strategic partnerships aimed at attracting younger, health-conscious consumers.
Following a Super Bowl advertisement earlier this year, Poppi secured promotional collaborations with the Dallas Cowboys and reality television program Love Island USA, helping strengthen its presence in mainstream consumer markets.
Poppi has also expanded beyond its original low-sugar, prebiotic soda offerings by introducing new caffeine-focused and relaxation beverages, targeting growing demand for functional drinks.
While the reduced earnout valuation signals uncertainty surrounding Poppi's near-term growth prospects, PepsiCo's continued marketing investments indicate that the company still sees long-term opportunities in the expanding functional beverage market.
