Republic’s product pages list a $2,500 minimum for each of three Grayscale investment products, below the amounts in Grayscale’s issuer-filed Form D/A disclosures: $50,000 for two funds and $25,000 for a trust.
Grayscale’s Jan. 5 amendments list $50,000 minimum investments for the Grayscale DeFi Fund (DEFG) and Grayscale Decentralized AI Fund. A Sept. 24 amendment gives a $25,000 minimum for the Grayscale Data Network Trust.
Grayscale announced its partnership with Republic on Oct. 15. The announcement describes U.S. sales under Rule 506(c) for verified accredited investors, as well as separate Regulation S sales to non-U.S. persons.
Republic Co-CEO Andrew Durgee said the arrangement is intended to let investors access the products earlier in their life cycles. He said such access had traditionally been largely limited to institutional investors.
Grayscale describes the DeFi fund as offering exposure to onchain finance protocols weighted by market value. Its AI offering focuses on protocols supporting distributed computing and storage for AI services, while the trust offers exposure to the DATA Network’s native token, $DATA.
Grayscale classifies the products as speculative and illiquid private placements. It says the shares are unregistered under the Securities Act of 1933, cannot be redeemed and face resale and transfer restrictions. The firm warns investors could lose their entire investment.
