Solvay S.A. said Tuesday that Citigroup Inc.’s voting rights and equivalent financial instruments in the Belgian chemicals company totaled 3.08% on Oct. 12, crossing a 3% disclosure threshold.
Solvay listed voting rights at 0.26% and equivalent financial instruments at 2.83%. The displayed components add to 3.09%, although the company stated a combined total of 3.08%. The disclosure did not explain the difference.
The notification, dated Oct. 15, said an acquisition or disposal of instruments treated as equivalent to voting rights prompted the filing. It identified Citigroup as the party required to report and said the notice was made by a parent company or controlling person.
Solvay released the information under Belgium’s May 2, 2007, financial transparency law. The filing used 105,876,416 voting rights as the denominator for its percentages.
Solvay trades on Euronext Brussels and Paris under the ticker SOLB and reported €4.3 billion in net sales for 2025. The company said its investor relations materials contain the full notification and details of the controlled entities through which the interest is held.
