Strategy Inc. said preliminary results showed common stockholders met the vote threshold for daily dividend record dates on four preferred series, which Strategy says is intended to shorten reinvestment delays and potentially improve liquidity.

Strategy's official X account put support at 99.3% of votes cast. The company's Form 8-K filed Wednesday reported that the required threshold had been reached based on preliminary results, without giving a percentage or full tally. The voting record date was Sept. 25.

The measure covers 10.00% Series A Perpetual Strife Preferred Stock (STRF), Variable Rate Series A Perpetual Stretch Preferred Stock (STRC), 8.00% Series A Perpetual Strike Preferred Stock (STRK) and 10.00% Series A Perpetual Stride Preferred Stock (STRD).

If the amended certificates are filed and take effect, each calendar day would qualify as a record date, including weekends and market and bank holidays. A declared dividend would be payable on the next business day. For shares cleared through The Depository Trust Company (DTC), weekend or DTC-holiday dates may be grouped under the preceding non-holiday date. Strategy's filing gives Nov. 6-8 as an example: those dates would share a Nov. 6 record date, with payment on Nov. 9.

The proxy schedules STRC's first daily record date for Nov. 1, with its first payment on Nov. 2. STRF, STRK and STRD are scheduled to begin daily record dates Jan. 1, 2027, with first payments Jan. 4. Before the meeting, Strategy had made the daily STRC schedule conditional on the shareholder vote.

The proposal changes payment timing while keeping the stated rates, aggregate regular payouts and Strategy's total dividend commitments the same. Strategy's proxy says more frequent record dates are intended to reduce the wait for holders who want to reinvest and may support liquidity and trading efficiency. It also says stronger demand for the preferred shares could improve the company's access to preferred-equity funding for its Bitcoin (BTC) treasury strategy.

Strategy cited positive feedback after moving STRC to semi-monthly dividends in June 2026. Dividends remain subject to declaration by the board or an authorized committee from legally available funds. The new schedule depends on the amended certificates being filed and taking effect.
