Strive, Inc.’s effective common share count rose to 124.1 million by Oct. 16, largely through warrant exercises, widening the share base used to compare its growing Bitcoin (BTC) holdings.

The company reported 124,064,126 effective common shares outstanding on Oct. 16, up 13,676,922 from 110,387,204 on Oct. 9, in an Oct. 19 filing with the Securities and Exchange Commission. The measure combines its Class A and Class B common shares. The share-count comparison begins three days before the Bitcoin purchase period.

Exercises on Oct. 12 and 13 generated 13,674,703 Class A shares and about $369.2 million in gross proceeds, Strive said. The warrants dated to its September 2025 merger with Asset Entities Inc. The rest of its traditional warrants expired Oct. 13, leaving none outstanding as of Oct. 16.

From Oct. 12 through Oct. 16, Strive added 4,045 BTC at an average cost of approximately $82,803 per BTC, including fees and expenses. It bought 2,822 BTC on Oct. 12 and 13 and a further 1,223 BTC from Oct. 14 through Oct. 16. Its holdings reached 36,818 BTC, up from 32,773 BTC.

The warrant proceeds brought money into Strive, while the new shares affect comparisons of its Bitcoin holdings on a per-share basis. The rise in total BTC holdings therefore needs to be read alongside the higher effective common share count.

In a separate Oct. 20 announcement, Strive said it had closed its previously announced SATS preferred stock offering. It sold seven million shares at $90 each, after expanding the offering from an initial five million shares. The sale price puts gross proceeds at about $630 million, compared with the shares’ $700 million aggregate stated amount.

Strive said regular SATS dividends are scheduled to begin Nov. 9, if declared.
