Tripadvisor plans a staggered leadership transition while reporting an 11% annual decline in third-quarter continuing-operations revenue, tying its loss mainly to a goodwill charge in its Hotels and Other business.
The company announced Nov. 5 that President and CEO Matt Goldberg will leave his executive roles and the board on Feb. 16, 2027, remaining CEO until then. CFO Michael Noonan plans to resign Dec. 31, 2026, to pursue another opportunity. Chief Strategy and Operations Officer Kristen Dalton will become interim CFO on Jan. 1, 2027. The board described the transition as serving Tripadvisor and its shareholders. A securities filing says neither executive’s departure followed a dispute with the company. Tripadvisor said it is using an executive search firm to find candidates for its next chapter but did not specify which role the search covers or set a date for naming a successor.
A separation agreement filed with the Securities and Exchange Commission provides Goldberg with $675,000 in salary continuation over 18 months and $675,000 in bonus severance. It also allows 50% of eligible unvested equity awards due to vest during that period to vest early, subject to performance requirements. The payments and benefits depend on a release and other conditions, including compliance with restrictive covenants; Tripadvisor would bear those costs.
For the three months ended Sept. 30, 2026, revenue from continuing operations totaled $436.4 million. Tripadvisor reported a $316.9 million net loss from continuing operations, primarily reflecting a noncash $369.5 million goodwill impairment in Hotels and Other. The company linked that charge to weaker financial performance and lower expected profitability, citing traffic pressure associated with changes in online search.
Tripadvisor said a restructuring plan initiated Nov. 4 is expected to produce about $40 million in annualized gross savings and incur $15 million to $20 million in pretax costs, mainly in the fourth quarter of 2026. The plan cuts roles in non-core Hotels and Other revenue lines and assigns additional product, engineering and data analytics roles to Experiences. Company disclosures do not connect the operating pressures or restructuring with the leadership changes.
Noonan’s planned departure is scheduled for Dec. 31, followed by Dalton’s interim appointment Jan. 1 and Goldberg’s exit Feb. 16. The company has not provided a timetable for a permanent successor.
