Tron Inc. filed a prospectus supplement with the U.S. Securities and Exchange Commission covering up to $200 million in common-stock sales, with net proceeds intended mainly for additional TRON (TRX) purchases if sales occur.

The Oct. 14 agreement, described in the company’s Form 8-K, allows Clear Street LLC to sell shares for Tron or, if both parties agree, purchase shares as principal in separately negotiated transactions. Neither party is required to complete a sale. For sales it handles as agent, Clear Street may receive up to 3% of gross proceeds.

The supplement’s estimate uses the stock’s Oct. 13 closing price of $1.22. Selling the full $200 million at that price would require 163,934,426 shares.

The filing’s pro forma total is 638,366,490 shares, assuming the sale of 163,934,426 shares and the issuance of 50,000 shares upon exercise of options. It compares with 474,382,064 shares outstanding on June 30, 2026. The projected total excludes 2,620 shares issuable through warrants and 1,715,000 shares issuable through outstanding options.

Tron listed working capital and general corporate purposes among potential uses for net proceeds, along with investments in technologies, products or businesses. The filing said the company had no current commitments or agreements for those investments. It also warns that future stock issuance could dilute existing shareholders.
