Unlock Technologies said it closed a $433.1 million securitization sponsored by D2 Asset Management, LP, pooling 4,474 U.S. home equity agreements to back notes issued to investors.

The Oct. 21 transaction, Unlock HEA Trust 2026-2, was Unlock’s second such financing in 2026 and its ninth overall. Unlock said D2 sponsored the deal. Morningstar DBRS identified the trust as the issuer of the notes.

Unlock reported $297.5 million in Class A notes, $50 million in Class B notes and $58.5 million in Class C notes. In an Oct. 9 notice, Morningstar DBRS assigned the classes provisional ratings of (P) A (low) (sf), (P) BBB (low) (sf) and (P) BB (low) (sf), respectively.

The rating agency measured the pool’s current exercise value at about $416.4 million at its cut-off date. That measure differs from Unlock’s $433.1 million securitized figure. Morningstar DBRS said 3,279 agreements were secured by second liens, 673 by third liens and 522 by first liens. It also identified 29 agreements associated with mortgage delinquency, foreclosure or bankruptcy after origination.

A home equity agreement gives a homeowner cash upfront in exchange for a later payment tied partly to the property’s value. The agreement does not require monthly payments, but the homeowner remains responsible for property expenses. The Consumer Financial Protection Bureau (CFPB) says homeowners may have difficulty estimating the eventual lump sum. Separately, the bureau says a lien attached to the contract can hinder refinancing.

The CFPB says providers gain exposure to rising home values while homeowners continue to bear upkeep costs. It traced the market’s first rated securitizations to October 2023 and identified securitization as one factor in the sector’s expansion.

D2 co-founder and managing partner Luke Doramus put the combined size of three transactions D2 has sponsored on Unlock’s program since December 2025 at about $1.2 billion. Unlock said the latest deal drew support almost entirely from investors who had participated in earlier transactions. The company also disclosed ownership and board ties involving D2-managed funds and some D2 employees.
