Thrive Holdings’ proposed $10-per-share purchase of ADT Inc. still awaits stockholder and regulatory approvals, while the home-security company withdrew its outlook after reporting mixed financial results for the third quarter.

ADT generated $1.35 billion in revenue for the quarter, a 4% increase, while adjusted earnings per share rose 4% to $0.24. Adjusted EBITDA totaled $665 million, a 2% decline. Adjusted free cash flow, with interest rate swaps included, was $217 million, up 4%.

Under the proposed agreement, Thrive Holdings would pay $10 in cash for each ADT share. ADT expects the deal to close in the first quarter of 2027 if stockholders approve it, U.S. antitrust clearance is granted and the other customary conditions are met. The acquisition has not been completed.

The period for ADT to seek rival bids expires at 11:59 p.m. ET Nov. 28. Some bidders could receive 10 more days.
