Anthropic PBC filed a public Form S-1 on Oct. 26, 2026, for a proposed U.S. initial public offering, giving investors a detailed view of its rapid growth, infrastructure spending and AI risk disclosures.
The company behind Claude intends to list Class A common shares on the Nasdaq Global Select Market under the symbol “ANT.” It has not determined the number of shares or the price range. The registration statement is not yet effective, so Anthropic cannot proceed with share sales.
Revenue totaled $16.286 billion in the first half of 2026, compared with $1.163 billion in the first half of 2025. Anthropic’s outlay for computing and infrastructure was $8.945 billion, up from $2.334 billion in the comparable period a year earlier.
The filing reports an $80.748 billion net loss. It attributes $72.4 billion to fair-value changes in convertible notes, derivative liabilities and SAFEs, primarily reflecting an increase in Anthropic’s enterprise valuation. The company also reported a $693 million operating loss and $1.618 billion in non-GAAP adjusted operating income, a separate measure from its reported net loss.
Anthropic said it uses AI in research and development, including work on future models. It warned that competitors could gain an advantage if they use AI more effectively to speed their own development. The filing also flags the possibility that advanced AI systems could pose catastrophic or existential risks.
CEO Dario Amodei argued in a September 2026 essay that commercial competition can heighten AI risks. He called for a more deliberate pace of model development while safeguards are strengthened.
The public filing follows Anthropic’s June 1 disclosure that it had confidentially submitted a draft S-1 to the SEC. EconoTimes previously covered the proposed listing’s unresolved price range and share count. The offering terms remain unsettled, and the filing gives no IPO date.
