Vail Resorts will hold a Dec. 14 director election after annual earnings declined, while Baron Capital plans to oppose Oasis Management’s nominees amid competing views on board oversight and company strategy.

Billionaire Ron Baron, who is associated with Baron Capital, has maintained a Vail shareholding for 30 years. EconoTimes previously covered the board contest.

Vail’s fiscal 2026 net income attributable to the company was $147.5 million, down from $280 million the prior year. Resort Reported EBITDA, a non-GAAP measure, fell 11.7% to $745.7 million from $844.1 million.

Oasis has called for closer board oversight and more attention to guest experience, pricing, marketing and resort operations. Vail’s board says changes in its composition could disrupt company strategy. It has cited marketing changes, new pass and lift-ticket products, and its Epic Experience strategy. The board has also said guest satisfaction reached a record, lift-ticket market share increased and pass sales for the coming season were outperforming the industry.

Shareholders are due to choose directors at the Dec. 14 annual meeting.
