BioNTech SE spent $311.8 million on American depositary share (ADS) repurchases in the third quarter, adding to a shareholder-return program that had used $463.3 million by Sept. 30.
Its quarterly report, filed Nov. 3, said the company acquired 3,344,396 ADSs during the period. It paid an average of $93.23 per ADS. The $1 billion authorization is the program’s ceiling, not the amount spent in those three months.
By Sept. 30, BioNTech had repurchased 5,037,452 ADSs for $463.3 million, at an average of $91.98 each. That cumulative figure covers the program through the reporting cutoff, while the quarterly amount isolates purchases in the three-month period. BioNTech’s investor tracker lists further purchases after Sept. 30, making the cutoff important when reading the report’s cumulative total. The tracker also records an earlier BioNTech repurchase program in 2023.
BioNTech’s Management Board and Supervisory Board approved the current program May 7, 2026. It allows repurchases of up to $1 billion through May 6, 2027. Each ADS represents one ordinary share, so the ADS count corresponds one-for-one with the underlying shares represented by the depositary receipts.
BioNTech says the program is intended to return capital to shareholders and improve capital efficiency. The company bears the purchase cost, which totaled $463.3 million through Sept. 30. BioNTech plans to use the shares for routine business obligations.
It said market conditions will shape any further purchases, which could occur on the open market. The authorization remains in effect through May 6, 2027, the deadline set by the two boards.
