WILMINGTON, Del., Feb. 08, 2016 -- Andrews & Springer LLC, a boutique securities class action law firm focused on representing shareholders nationwide, is investigating potential breach of fiduciary duty claims against the Board of Directors of Cascade Microtech, Inc. (“Cascade” or the “Company”) relating to the sale of the Company to FormFactor, Inc. (“FormFactor”). On February 4, 2016, the two companies announced the signing of a definitive merger agreement pursuant to which FormFactor will acquire Cascade in a deal worth $352 million. As a result of the merger, Cascade shareholders are only anticipated to receive $16.00 per share in cash and 0.6534 of a share in FormFactor exchange for each share they own.
Andrews & Springer’s investigation has so far uncovered that the consideration Cascade shareholders are expected to receive is inadequate. Following the merger, Cascade shareholders are expected to be substantially diluted, owning only 15% of the combined company. Additionally, the 0.6534 fixed exchange ratio restricts the value that Cascade shareholders are expected to receive by exposing Cascade shareholders to the volatility of FormFactor’s share price.
Andrews & Springer is also investigating whether Cascade directors are breaching their fiduciary duties by failing to adequately shop the company and maximize shareholder value.
