Church & Dwight Co., Inc. will expand its board to 12 members by adding Masco Corporation President and CEO Jonathon J. Nudi as an independent director.
Church & Dwight reported the appointment in a Form 8-K filed with the Securities and Exchange Commission on Oct. 29, after the board’s Oct. 27 vote. The filing names Nudi as an independent director and places him on the Audit Committee and Compensation & Human Capital Committee. It was submitted under Item 5.02, which covers director and certain officer changes and compensation arrangements.
Nudi joined Masco’s board in June 2023 and became its president and CEO in July 2025. His career at General Mills, Inc. spanned more than three decades and included leadership assignments in the United States and Europe. The filing identifies his latest General Mills role as Group President, Pet, International and North America Foodservice; earlier, he was Group President, North America Retail.
The filing says Nudi’s compensation will follow Church & Dwight’s standard policy for directors who are not company employees, but gives no dollar figure. The filing says Nudi was not selected under an arrangement or understanding between him and another person. It also listed no transaction involving him that triggers disclosure under Item 404(a) of Regulation S-K. His appointment is scheduled to take effect Jan. 1, 2027.
