EQT Corp. filed a Form 425 with the U.S. Securities and Exchange Commission (SEC) on Oct. 26, and the agency’s index identifies Range Resources Corp. as the filing’s subject.
The index classifies the submission as a Form 425 for prospectuses and communications in business combinations. It lists accession number 0001213900-26-112513 and 35 documents: the filing and 34 graphics.
EconoTimes’ earlier coverage of the agreement reported that EQT and Range had agreed to an all-stock combination with a pro forma enterprise value above $50 billion. It reported an exchange ratio of 0.987 EQT common shares for each eligible Range share, with expected ownership split about 73% for EQT shareholders and 27% for Range shareholders on a fully diluted basis.
That report gave a first-quarter 2027 closing target, conditional on both shareholder approvals, the applicable Hart-Scott-Rodino review period, effectiveness of EQT’s Form S-4 registration statement and other conditions. The companies were scheduled to release third-quarter 2026 results after market close Oct. 27; their Oct. 28 earnings calls had been canceled, according to the earlier report.
