NextEra Energy Inc. filed a Form 425 with the U.S. Securities and Exchange Commission (SEC) on Nov. 3, naming Dominion Energy, Inc. as its subject while regulators review the companies’ proposed combination. The SEC index records two entries: the filing itself and a graphic.
In Virginia rebuttal testimony, NextEra and Dominion said they would adopt 101 of 117 proposals from staff of the Virginia State Corporation Commission and the Office of the Attorney General Division of Consumer Counsel without revision, modify 13 others and offer alternatives for the rest. The companies’ response to Virginia’s merger proposals is part of the regulatory review.
The companies’ third-quarter update scheduled hearings in Virginia for November and South Carolina for December, with final orders in both states expected in January 2027. It kept a second-half 2027 closing target, subject to regulatory approvals and other conditions, and set North Carolina expert-witness hearings to begin in February 2027.
