NextEra Energy's proposed merger with Dominion Energy would produce a combined company with $402.1 billion in pro forma assets, according to a Nov. 5 filing with the U.S. Securities and Exchange Commission (SEC).
The filing's unaudited balance sheet assumes the transaction had closed on Sept. 30, 2026. The companion income statement uses a different scenario, treating the merger as complete on Jan. 1, 2025, for its 2025 results. Those results show $43.165 billion in operating revenues and diluted earnings of $3.22 per share.
NextEra says the figures were prepared as illustrations using preliminary adjustments, not to forecast future performance. The company cautions that actual results could differ materially from the modeled numbers. These are two hypothetical views of a combined company; the filing does not report a completed merger.
Under the merger agreement, each eligible Dominion common share would entitle its holder to 0.8138 NextEra common shares and a pro rata portion of $360 million in aggregate cash. Shares designated for cancellation under the agreement would not receive that consideration.
The filing describes customer bill credits exceeding $2.25 billion. It also lists $100 million for a customer-assistance program through 2038 and an additional $10 million a year in charitable giving for at least five years in Virginia, North Carolina and South Carolina. A separate $100 million fund would support workforce development in Virginia. The filing identifies intended recipients for these commitments but does not specify how their eventual costs would be allocated.
EconoTimes previously covered an earlier NextEra filing naming Dominion in a merger communication.
The deal remains subject to the applicable antitrust waiting period and regulatory approvals, including from the Federal Energy Regulatory Commission (FERC), the U.S. Nuclear Regulatory Commission (NRC) and state commissions in Virginia, North Carolina and South Carolina. The Form 8-K gave no expected closing date.
