Nidec may submit internal-control documents to the Tokyo Stock Exchange without PwC Japan's opinion, the Nikkei reported Wednesday, as a one-year review of the Japanese motor maker's management system comes due.
The Nikkei report did not cite sources. Nidec, PwC Japan and the TSE have not confirmed the reported plan. Nidec's website separately lists an internal-management-system confirmation for the end of October 2026. The link between that confirmation and the documents described by Nikkei is unverified.
Nidec's Sept. 30, 2026, disclosure says PwC Japan LLC issued disclaimers of opinion on the company's consolidated and non-consolidated financial statements for the year ended March 31, 2026, as well as on its internal-control audit report. PwC said it lacked sufficient appropriate evidence to support an audit opinion. The relationship between those disclaimers and the opinion cited by Nikkei has not been established.
PwC's report also noted that Nidec recognized ¥632,221 million in impairment losses during the fiscal year ended March 31, 2026. PwC said it lacked enough evidence to assess some estimates related to those losses.
At an Oct. 1 news conference, Nidec and PwC said they were working toward an audit opinion by the end of October. That statement set a target; it did not confirm that an opinion would be issued by then.
The TSE designated Nidec a security on special alert effective Oct. 28, 2025, citing the audit disclaimer and the need to improve the company's internal management system. Exchange rules require a company to submit an internal-management-system confirmation after one year under the designation. The TSE can remove the designation, continue it or delist the company after reviewing the submission.
Nidec's website places the confirmation at the end of October 2026. Whether the company submitted it and what action the TSE will take have not been established.
