The delay leaves Nidec Corporation without audited revised filings for its FY2025 accounts, after it missed a Reuters-reported target and still awaited an auditor’s opinion on its annual securities report. Nidec’s Oct. 1 presentation set an end-of-October goal for completing the remaining work needed to obtain audit opinions, while Reuters identified Oct. 28 as the filing target. FNN separately reported that the FY2025 annual securities report was still being revised and had not received an auditor’s opinion.
Reuters reported that additional checks requested by the auditor about people involved in improper accounting were still in progress. Nidec expects to complete its part of those checks in November, Reuters reported, but that estimate does not set a date for the auditor’s conclusion or for filing revised reports.
On Sept. 30, PricewaterhouseCoopers Japan LLC disclaimed an opinion on Nidec’s financial statements for the year ended March 31, 2026, and its internal-control report. The auditor said the information available did not allow it to support an opinion. Its report also cited unfinished personnel actions involving people connected to the accounting issues, along with evidence gaps around impairment estimates and comparative financial data.
The filing delay is part of a broader response to the accounting problems. On Oct. 27, Nidec said it plans to seek damages from former executives, including founder Shigenobu Nagamori, after reviewing the amounts it intends to claim. The company’s planned damages suit against former executives follows a committee review of executive responsibility; Nidec said it would determine the claim amounts before filing and gave no filing date.
The Tokyo Stock Exchange (TSE) designated Nidec stock as a Security on Special Alert on Oct. 28, 2025, citing the audit disclaimer and a need to improve the company’s internal management system. The TSE says it assesses a designated company’s internal management system one year after designation. Reuters and FNN reported that Nidec is expected to submit an internal-control confirmation report to the exchange on Oct. 30.
