The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that Celadon’s equity contribution to its joint venture with Element Financial Corp. was $68.2 million, not the $100 million Celadon reported in public filings and Celadon was being investigated by the U.S. Securities and Exchange Commission (“SEC”).
According to the complaint, following an April 5, 2017 report that Celadon has used off-balance sheet entities and manipulative accounting practices to hide its insolvent condition from investors and creditors, and an April 19, 2017 announcement that the Company received correspondence from the SEC indicating that Celadon was under investigation, the value of Celadon shares declined significantly.
