Filings show SpaceX and Tesla held 30,221 Bitcoin (BTC) between them as of June 30, putting their separate digital-asset positions in focus as independent directors consider a merger.
SpaceX reported 18,712 BTC with a cost basis of $661 million. Tesla reported 11,509 BTC acquired for $386 million. The 30,221 total is calculated from their separate filings; neither company reported a combined holding.
For the quarter ended Sept. 30, SpaceX valued its digital assets at $1.573 billion and Tesla valued its at $962 million. Those balance-sheet values do not establish how much BTC either company held at quarter-end.
Elon Musk, CEO of both companies, said on SpaceX's Oct. 20 earnings webcast that shareholders had asked them to consider a merger. Each company formed a committee of independent directors to review the possibility, he said. Musk said his conflict of interest keeps him out of the committees' discussions.
Musk described cooperation on software, chips, robotics and connectivity as a possible benefit, while cautioning that a deal was not assured. A Tesla shareholder vote on a merger would require support representing 50% of all Tesla shares, rather than 50% of votes cast, he said. The committees have not agreed on terms, and Musk gave no date for a proposal or vote.
