Tesla and SpaceX have tasked separate committees with examining closer ties that may include a combination, but their latest disclosures show no agreed terms or announced transaction.

Tesla's quarterly filing says its special committee is reviewing closer ties with SpaceX, including a possible merger. SpaceX's filing says its committee is assessing a combination and has not made a decision. The filings do not specify a transaction structure.

The companies already have commercial and investment links. Tesla's second-quarter filing described those ties, which EconoTimes previously covered in its report on the companies' financial relationship.

On Tesla's July 22 earnings webcast, Tesla CEO Elon Musk described growing overlap, saying there was “more and more overlap, especially with Terafab.” He said any combination would need an “appropriate process.”

In separate remarks, Musk described the backing needed for a Tesla merger vote as half of the company's full share base, rather than half of votes cast. EconoTimes previously covered his comments on the vote threshold.

Reuters reported that preliminary discussions in recent weeks had considered three possible structures: SpaceX buying Tesla, placing both businesses under a new parent company, or using a stock-based transaction. The news agency said Tesla, SpaceX and Musk did not respond to its requests for comment.
