HOUSTON, Dec. 02, 2016 -- Alta Mesa Holdings, LP (“Alta Mesa”) announced today that it and its wholly-owned subsidiary, Alta Mesa Finance Services Corp. (“Co-Issuer”), priced a private offering to eligible purchasers under Rule 144A and Regulation S of the Securities Act of 1933, as amended (the “Securities Act”) of $500 million aggregate principal amount of 7 7/8% senior unsecured notes due 2024 at par (the “Notes”). This represents an increase of $50 million over the aggregate principal amount previously announced. The private offering is expected to close on December 8, 2016, subject to customary closing conditions.
Concurrently with this offering, Alta Mesa commenced a tender offer (the “Tender Offer”) to purchase for cash, subject to certain conditions, any and all of its $450 million aggregate principal amount of 9.625% senior notes due 2018 (the “2018 Notes”). Alta Mesa intends to use the net proceeds of this offering to fund the purchase of the 2018 Notes in the Tender Offer and the redemption of any 2018 Notes that remain outstanding after consummation of the Tender Offer, with remaining net proceeds to repay a portion of outstanding indebtedness under Alta Mesa's senior secured revolving credit facility.
