Anthropic’s Oct. 26 filing says CEO Dario Amodei and six co-founders pledged 80% of their personal equity in the AI company to philanthropy, with the commitments remaining voluntary and revocable.
The Form S-1, filed with the U.S. Securities and Exchange Commission (SEC), says the promises create no legal duty to give. It sets no donation deadline or value, names no recipients and does not specify which philanthropic vehicle each founder would use.
The filing separately reports that Amodei beneficially owned 240,637,980 Class A shares as of Sept. 30, 2026. That figure includes shares held by him or trusts he controls, as well as options and restricted stock units, so it is not a count of issued shares held outright.
It also lists 4,621,120 shares held by Daffy Charitable Fund and Dechomai Asset Trust as subject to voting proxies for Amodei. He may vote qualifying shares, but shares the funds receive from Amodei, his family or affiliates are excluded. The filing does not identify who contributed the shares covered by the proxies.
Anthropic describes a possible governance tension in the Founder LLC: a founder’s economic stake could decline after a share donation while the founder’s voting control stays intact, if the minimum ownership condition is met. The company says that divergence could weaken alignment with other stockholders.
The founders’ commitments are separate from Anthropic’s corporate fund. The filing says the company contributed 846,840,960 Class N shares to its Public Benefit Fund, equal to 5% of fully diluted shares as of June 30, 2026, assuming full conversion of Amazon notes. The board may add up to 2% of shares at each milestone defined by a 50% rise in share price over the previous level. Any addition is subject to trading-day tests and board discretion.
Anthropic’s Oct. 18 announcement said the fund could make large donations to nonprofits or distribute money directly to populations affected by AI’s labor-market effects. In a January 2026 essay, Amodei argued that private giving alone would not address the economic disruption and inequality he associates with AI, and that government action would also be needed. Anthropic said further information on fund governance and a public-benefit report would follow in the coming months, without giving a date.
