Anthropic’s public IPO filing puts its financing and cloud ties in view as the Claude developer moves toward a Nasdaq listing while leaving its share count and price range undecided.

Anthropic said Monday, Oct. 26, that it had filed a public Form S-1 with the U.S. Securities and Exchange Commission. The proposed offering is for Class A common stock on the Nasdaq Global Select Market under ANT. The share count and price range remain undetermined, the registration statement is not yet effective, and no listing date has been announced.

Anthropic’s announced post-money valuations rose from $61.5 billion for Series E in March 2025 to $183 billion for Series F in September 2025, then $380 billion for Series G and $965 billion for Series H, announced May 28, 2026. The Series H financing raised $65 billion. The $965 billion figure is a private-round valuation, not an IPO valuation.

Fidelity Management & Research Company took part in Series E, co-led Series F and was listed as a significant investor in Series G and H. Anthropic’s announcements also named Amazon and Google among participants in earlier funding rounds.

Anthropic says growing demand for Claude has strained its infrastructure. It said Amazon had previously invested $8 billion and is adding $5 billion, with as much as $20 billion in possible future investment. Anthropic has pledged to spend more than $100 billion on Amazon Web Services (AWS) technologies over 10 years and obtain access to computing capacity that could reach five gigawatts.

Anthropic’s May 2023 funding announcement named Google among participants in its $450 million Series C round. Reuters reported that Google’s commitment could reach $40 billion, including an initial $10 billion announced in April 2026. Bloomberg reported that the initial investment was made at a $350 billion valuation and that up to $30 billion more was tied to performance targets.

Anthropic separately announced a compute agreement with Google and Broadcom covering multiple gigawatts of next-generation tensor processing unit (TPU) capacity, expected to begin coming online in 2027. The company has not set its IPO share count, price range or listing date.
