HOUSTON, March 30, 2017 -- Cardtronics plc (Nasdaq:CATM) (“Cardtronics” or the “Company”), today announced the pricing of $300 million in aggregate principal amount of 5.50% senior notes due 2025, issued by two of its indirect, wholly-owned subsidiaries, Cardtronics, Inc. and Cardtronics USA, Inc., at par for sale to eligible purchasers in a private offering (the “Notes Offering”). The Notes Offering is expected to close April 4, 2017, subject to customary closing conditions.

Accordingly, the notes are expected to be eligible for resale only to qualified institutional buyers and outside the United States to non-U.S. persons in compliance with Regulation S. This announcement shall not constitute an offer to sell or a solicitation of an offer to buy any of these securities nor shall there be any sale of these securities in any state or other jurisdiction in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state or jurisdiction.
