Cognizant has agreed to acquire DyFlex Solutions, an Australia-headquartered SAP services company, in a proposed deal that would expand its enterprise software and AI capabilities across Australia and New Zealand.

Cognizant announced the definitive agreement Oct. 21 but did not disclose financial terms. The companies will continue to operate separately until the transaction closes, Cognizant said.

Founded in 2011, DyFlex has more than 300 people and offices in Australia and New Zealand, along with a delivery presence in the Philippines. If the acquisition is completed, Cognizant would gain DyFlex’s regional SAP workforce and delivery capacity.

DyFlex advises businesses on SAP software, implements systems and manages them after deployment. Its SAP Public and Private Cloud work covers finance, data and analytics, human capital management, asset maintenance and digital supply chains.

Cognizant expects the deal to deepen its expertise in the public sector, mid-market, logistics and manufacturing, as well as mining, resources, energy and utilities. Those potential gains depend on the transaction closing.

Cognizant expects to bring DyFlex’s regional knowledge and proprietary SAP accelerators into its industry and AI offerings. It named Neuro AI Enterprise Core and the Cognizant SAP Agentic AI Platform among the platforms it intends to use.

The companies say the combination is intended to help clients expand their use of AI applications within SAP systems. Cognizant has framed the agreement as part of its AI Builder strategy, which seeks to turn AI investment into business value.

Roshan Subudhi, Cognizant’s senior vice president and head of Intelligent Enterprise Platforms, said DyFlex’s SAP experience could help clients modernize their operations.

Separately, Cognizant and Google Cloud announced an AI group backed by more than 18,000 Cognizant associates on Oct. 19. That group aims to help business clients put AI agents into production.

Cognizant expects the DyFlex acquisition to close in the first quarter of 2027, subject to regulatory approvals and other customary closing conditions.
