Anthropic, PBC’s public IPO filing puts Goldman Sachs and Morgan Stanley at the top of its bank roster while showing a fast-growing business with steep infrastructure costs.

Anthropic filed a Form S-1 registration statement Monday, Oct. 26, for a proposed U.S. offering of Class A common stock. It intends to list the shares on the Nasdaq Global Select Market under ANT. Goldman Sachs & Co. LLC and Morgan Stanley & Co. LLC occupy the first two places in the prospectus’s bank list.

The proposed transaction covers shares Anthropic sells and stock held by existing stockholders who choose to sell. Anthropic says it would receive proceeds from its own portion, while selling stockholders would receive proceeds from their shares. The company says it expects to direct its share-sale proceeds toward operating needs, expanding computing and infrastructure capacity, and recruiting and retaining employees.

Revenue was $16.286 billion in the six months ended June 30, 2026, compared with $1.163 billion in the same period a year earlier. Anthropic recorded a $693 million operating loss and $8.945 billion in compute and infrastructure expenses for the 2026 period. Its net loss reached $80.748 billion, including a $72.388 billion expense associated with fair-value changes in convertible notes, derivative liabilities and SAFEs.

The prospectus also says that more than 1,900 customers each generated at least $1 million in revenue over the 12 months ending Sept. 30, 2026.

The public filing followed Anthropic’s June 1 disclosure that it had confidentially submitted a draft S-1. On Monday, the company said the registration statement had not yet become effective. It gave no date for trading to begin.

The prospectus adds financial detail to EconoTimes’ earlier coverage of the filing’s unset share count and price range. The company has not announced a timetable for effectiveness or a trading date.
