The record date for determining those stockholders entitled to vote at the 2016 annual meeting of stockholders is the close of business on March 24, 2016. The close of business on Thursday, March 17, 2016 is the deadline for stockholders to submit director nominations or stockholder proposals for presentation before the 2016 annual meeting of stockholders. Any Inovalon stockholder who wishes to submit a director nomination or stockholder proposal must deliver the information required by Inovalon’s bylaws in writing no later than Thursday, March 17, 2016 to the attention of Inovalon’s Corporate Secretary, 4321 Collington Road, Bowie, Maryland 20716.
