The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that Roadrunner lacked effective internal controls over financial reporting, and its financial statements dating back to the beginning of 2014 overstated the estimated results of operations and contained errors relating to unrecorded expenses from unreconciled balance sheet accounts including cash, driver and other receivables, and linehaul and other driver payables.
According to the complaint, following a November 10, 2016 notification of late filing due to identifying a mistake in the calculation of the cash flow leverage ratio, and a January 30, 2017 press release announcing a restatement of prior financial statements, the value of Roadrunner shares declined significantly.
