The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that Mylan N.V. and Mylan Inc. incorrectly classified EpiPen as a generic drug under the Medicaid Drug Rebate Program, which reduced the amount of quarterly rebates Mylan N.V. and Mylan Inc. owed for EpiPen.
According to the complaint, following a September 2, 2016 article stating that the Centers for Medicare & Medicaid Services (“CMS”) informed Mylan that it incorrectly classified EpiPen as a generic, and an October 5, 2016 article regarding a letter issued by CMS, which stated that it had told Mylan that it classified EpiPen incorrectly, the value of Mylan N.V. shares declined significantly.
