The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that Shaul Elovitch (“Elovitch”), the Chairman of the Board of Bezeq The Israel Telecommunication Corporation Limited (“Bezeq”) and B Communications, had engaged in illegal conduct in connection with the merger of Bezeq with D.B.S., Satellite Services (1998) Ltd. (“Bezeq-Yes Merger) and discovery of the conduct would subject B Communications and/or Bezeq to heightened regulatory scrutiny and potential criminal sanctions.
According to the complaint, following a June 20, 2017 report that the Israel Securities Authority raided the offices of Bezeq, detained Elovitch, and advised Bezeq that it was investigating suspicions of violations of the securities law and the penal code, as well the as Bezeq-Yes Merger, the value of B Communications shares declined significantly.
