(Nasdaq:HSIC) (“Henry Schein” or the “Company”) securities during the period between February 13, 2013 and February 12, 2018, inclusive (the “Class Period”). The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that Henry Schein was engaging in anti-competitive behavior through agreements with Benco Dental Supply Company and Patterson Companies, Inc., in violation of United States antitrust laws, and these violations of U.S. antitrust laws would result in heightened scrutiny by the federal government and a lawsuit filed but the Federal Trade Commission (“FTC”).
According to the complaint, following a February 12, 2018 FTC announcement that it filed a complaint against Henry Schein, among others, alleging violations of U.S. antitrust laws, the value of Henry Schein shares declined significantly.
