Strategy said its preliminary count from the Oct. 28 special shareholder meeting cleared the vote requirement for amendments allowing daily record dates on four preferred classes.
STRC is scheduled to begin the revised record-date schedule Nov. 1, 2026. Daily record dates for STRF, STRK and STRD are slated to begin Jan. 1, 2027. The new dates take effect only after Strategy files the amendments and they become effective.
A record date determines which holders qualify for a declared dividend; it does not mean a payment arrives each day. Strategy’s proxy says a declared dividend is payable on the next business day. Weekends and Federal Reserve Bank of New York closure days may affect payment timing.
For shares cleared through The Depository Trust Company (DTC), weekend or DTC-holiday record dates may be grouped under a preceding nonholiday date. In an example in the filing, DTC dates for Nov. 6-8 would share a Nov. 6 record date, with payment on Nov. 9.
Strategy’s proxy says the amendments change when holders qualify, while leaving stated annual dividend rates unchanged. The company says more frequent record dates are intended to shorten the wait for holders seeking to reinvest and may support liquidity and trading efficiency. It also says stronger demand for preferred shares could improve access to preferred-equity funding for its Bitcoin (BTC) treasury strategy.
Strategy’s official X account said 99.3% of votes cast supported the amendments. The company’s Form 8-K said preliminary results met the required threshold but gave no percentage or full tally. Earlier coverage of the vote detailed the X figure.
STRC’s first daily record date is scheduled for Nov. 1, subject to its amended certificate taking effect.
