NEW YORK, NY, April 26, 2018 -- Tauriga Sciences, Inc. (OTC PINK: TAUG) ("Tauriga" or the "Company"), engaged in building its business through the development, distribution, and licensing of proprietary products as well as the evaluation of potential acquisition opportunities inclusive of equity investments, today announced the formal cancellation of the final remaining Back-End Convertible Debenture (“Back-End Note”) held by GS Capital Partners LLC (“GS Capital”) in connection with the $105,000 Face Value 8% Convertible Debenture Dated October 17, 2017.
On October 17, 2017, the Company entered into a stock purchase agreement with GS Capital whereby the Company issued two 8% convertible redeemable notes each in the principal amount of $105,000. The first 8% note was funded with gross cash proceeds of $100,000, after the deduction of $5,000 in legal fees. The second 8% note (the “Back-End Note”) was initially paid for by an offsetting promissory note issued by GS Capital to the Company (the “Note Receivable”). The terms of the Back-End Note would have required cash funding prior to any conversion thereunder.
Tauriga continues to enjoy an excellent working relationship with GS Capital and expects that to continue in the future.
