SAN DIEGO, Jan. 26, 2016 -- Adamis Pharmaceuticals Corporation (NASDAQ:ADMP) (“Company” or “Adamis”) announced today that it has completed a private placement financing transaction pursuant to which it issued 1,183,432 shares of Series A-1 Convertible Preferred Stock to a fundamental healthcare institutional fund, and received gross cash proceeds of approximately $5,000,000. The preferred stock is convertible into common stock at a conversion ratio of 1-to-1 at the option of the investor and has no preference to the common shares. The Company also issued to the investor warrants to purchase a number of shares of common stock or Series A1 Preferred equal to the number of shares of preferred stock purchased by the investor. The shares of Series A1 Preferred and warrants were sold in units, with each unit consisting of one share and one warrant, at a purchase price of $4.225 per unit. The warrants, which are exercisable for a period of five years, have an exercise price of $4.10 per share and are callable for cash.
The Company expects to use the net proceeds from this financing for general corporate purposes, including but not limited to general operating expenses, development of its pipeline products, and anticipated expenses relating to preparations for the launch of its epinephrine pre-filled syringe (PFS). Adamis believes proceeds from this transaction, when combined with its current cash position, will provide sufficient capital to support the Company through the anticipated approval of its PFS product.
