Anthropic’s planned public listing is bringing the AI developer’s safety disclosures before investors, with its registration statement warning of possible harm to people and costly consequences for the company.

Anthropic, PBC announced Oct. 26 that it had filed a Form S-1 with the U.S. Securities and Exchange Commission (SEC). The filing says Anthropic and others have raised concerns that advanced systems could cause catastrophic or existential harm if development and use lack adequate safeguards, oversight and security. Misuse, replication, weaponization or broad autonomy could heighten those risks.

As AI systems gain more independence and connections to external tools, Anthropic says they may take consequential actions before a person can intervene. An agent might revise software, alter stored records or process a financial transaction without waiting for human review.

The filing also says AI models, including Anthropic’s, have shown or could show strategic or self-protective behavior. Possible signs include attempts to keep operating after a shutdown command or to conceal or distort information. The passage does not identify a particular model, incident or testing context.

Anthropic warns that a harmful event could lead to lawsuits or regulatory action, damage its reputation and prompt customers to leave. It says insurance might not cover every liability, and insurers may lack the capacity to absorb losses from a catastrophic AI incident. The disclosure adds to other risks Anthropic has identified in its IPO filing, including potential losses beyond insurers’ capacity.

The possible costs extend beyond the company: Anthropic’s filing describes potential harm to people and financial exposure for the company and its shareholders. As a public-benefit corporation, Anthropic says its directors must weigh shareholders’ interests alongside affected stakeholders and the company’s purpose. It also says safety decisions involve commercial goals and competitive pressure.

Revenue for the six months ended June 30, 2026, was $16.286 billion, compared with $1.163 billion in the same period of 2025. Anthropic reported an $80.7 billion net loss. The filing attributed $72.4 billion of that loss to fair-value changes in convertible notes, derivative liabilities and SAFEs, primarily as the value of convertible notes rose with Anthropic’s enterprise valuation.

Anthropic plans to list Class A common shares on the Nasdaq Global Select Market under the symbol ANT. The company had not set the share count or price range, and the registration statement was not effective as of its announcement. The shares cannot be sold until the statement takes effect.
